NEW YORK, February 7, 2007 -- Ambac Financial Group, Inc. (NYSE:ABK) today announced its plan to conduct a public offering of approximately $400 million Directly-Issued Subordinated Capital Securities (DISCSSM). The DISCS are expected to be rated Aa3 by Moody's Investors Service, Inc. and A+ by Standard & Poor's Ratings Services. The Company currently intends to use the proceeds to repurchase shares of its common stock pursuant to an accelerated share repurchase program, subject to market and other business conditions. Any proceeds not used for such share repurchases are intended to be used for general corporate purposes. Citigroup Corporate and Investment Banking, Goldman Sachs & Co. and JPMorgan will act as joint book-running managers for the DISCS underwriting syndicate. The proposed offering would be conducted via an existing effective shelf registration statement.
